Terms of Service

1. Definitions and Scope

• 1.1 The Service: Synapse is a knowledge management interface that utilizes Retrieval Augmented Generation (RAG) to index and retrieve information from User-provided documents.
• 1.2 Deployment Models: The Service is available in two formats:
  • Cloud (SaaS): Hosted on Company infrastructure.
  • Local Server (On-Premise): Self-hosted on Customer infrastructure.
• 1.3 Output: Text, data, or information generated by the AI models through the Service.

2. AI Disclaimers & "Hallucinations" (Critical Risk)

• 2.1 No Reliance on Output: The Service utilizes probabilistic Artificial Intelligence (AI) and Large Language Models (LLMs). You acknowledge that Output may be inaccurate, incomplete, misleading, or false ("Hallucinations").
• 2.2 Human Review Required: You agree that all Output must be verified by a human prior to use. The Company is not liable for any errors, omissions, or damages resulting from reliance on AI-generated Output.
• 2.3 Not Professional Advice: The Service does not provide legal, financial, medical, or professional advice.

3. Bring Your Own Key (BYOK) Terms

3.1 User Responsibility: To use the Cloud version of the Service, you must provide a valid API key from a third-party AI provider (e.g., OpenAI, Anthropic).

6. Intellectual Property

• 6.1 Your Data: You retain all ownership rights to the documents and data you index using Synapse. We do not claim ownership of your data.
• 6.2 Output Ownership: As between the parties, and to the extent permitted by law, You own the Output generated by your prompts. You are responsible for ensuring your use of the Output does not violate copyright or third-party rights.
• 6.3 Our IP: Deep Scale Ai retains all rights to the Platform code, embeddings architecture, interface design, and proprietary RAG algorithms.

7. Limitation of Liability (The "Shield")

• 7.1 Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEP SCALE AI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT.
• 7.2 Consequential Damages: We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill, specifically including damages arising from inaccurate AI Output.

8. Indemnification

You agree to indemnify and hold Deep Scale Ai harmless from any claims, damages, or losses arising from:

• Your violation of third-party AI provider terms (e.g., using OpenAI to generate illegal content).
• The nature or content of the documents you index (e.g., uploading data you do not own).
• Your reliance on any AI-generated Output.

9. Termination

We reserve the right to suspend or terminate your access immediately, without notice, if:

• You use the Service for unlawful purposes.
• You attempt to reverse engineer the Local Server code.
• Your API usage triggers fraud or abuse alerts from third-party providers.
